Your Role: As the senior lead on Transaction Advisory you will be responsible for providing comprehensive legal support on all investment-related activities under the direction of the SVP – Transaction Advisory. The role involves handling and managing legal aspects of the company’s investment activities, ensuring compliance with relevant regulations, and safeguarding the company’s interests. This position requires active coordination with other departments, external legal advisors, and regulatory bodies to facilitate smooth transaction processes and ensure alignment with the company’s strategic objectives.

Key Responsibilities:

Manage the day-to-day operations of the Transaction Advisory department, ensuring adherence to policies and frameworks. Provide legal support for the company’s transactions, including due diligence, drafting and negotiating agreements, and supporting closing transactions.

Monitor and review deal documents, offering legal advice in coordination with external legal advisors. Draft and review legal agreements for deal structuring and closure, ensuring alignment with legal requirements. Conduct annual reviews of company agreements with partners and investors. Ensure regulatory compliance for investment opportunities and deals.

Support the investment team with M&A legal aspects, including preparing board and executive committee meeting materials. Liaise with stakeholders to prepare documentation for government permits. Act as the custodian of all legal documentation related to transaction advisory. Handle key external contracts with legal firms, for the company, and regulators.

Must-Have:

Bachelor’s or master’s degree in law (MBA preferred).

8-10 years of experience in a law firm.

Familiarity with corporate transactions and M&A.

Industry experience in M&A and corporate investment.

Strong legal acumen and understanding of investment and M&A activities.

Excellent negotiation and drafting skills.

Strong organizational and project management skills.

Ability to work collaboratively with internal and external stakeholders.

Proactive approach to identifying and mitigating legal risks
