Our Client: A leading FMCG company in the consumer goods manufacturing sector, known for its diverse portfolio of products and commitment to excellence.

Role Overview: We are seeking a highly experienced Group Corporate Governance Manager (Company Secretary) to be based in Dubai. This role involves leading the company secretarial function, ensuring compliance with legal, regulatory, and financial requirements while upholding high standards of governance across the organization. Reporting to the Group Legal Director, the role includes managing company secretarial duties, advising on regulatory matters, and supporting the Board of Directors in strategic decision-making.

Key Responsibilities:

  • Develop and implement company secretarial frameworks, policies, and best practice procedures.
  • Ensure compliance with all relevant lawsregulations, and corporate governance codes.
  • Conduct regular audits and internal reviews to monitor and maintain regulatory compliance.
  • Stay up to date with legislative and regulatory changes, advising on necessary actions to adapt to these developments.
  • Provide expert legal and governance advice to the Board of Directors and senior management.
  • Serve as the primary liaison with external regulatorslegal advisorsauditors, and corporate service agents.
  • Manage statutory records, including registers of shareholdersdirectors, and secretaries.
  • Ensure the maintenance and proper organization of databases related to company secretarial matters.
  • Provide leadership and training to staff involved in company secretarial and legal support.
  • Foster a culture of continuous improvement in company secretarial practices.
  • Develop and implement corporate governance frameworks and best practice procedures.
  • Provide governance advice to the Board of Directors and senior management.

Your Profile:

  • Bachelor’s degree in LawBusiness Administration, or a related field (mandatory).
  • Post-Graduate Diploma in LawBusiness Administration, or a related field (recommended).
  • Certification in Corporate GovernanceCompany Secretarial Practice, or Compliance (e.g., ICSAGovernance Institute) (recommended).
  • Minimum of 7 years of experience in company secretarial roles.
  • Strong knowledge of regulatory requirements and governance frameworks.
  • Excellent communication and interpersonal skills.
